Mike McGregor Website Terms and Conditions of use

Mike McGregor is the owner and operator of this website. By doing any of the following acts you agree to be bound by these terms and conditions:

• expressly accepting these terms and conditions at any time, for example by clicking “I Accept” or “Proceed” or any clearly indicated activation phrase on your computer or other device;
• downloading any of our digital applications (App) or any upgrade to an App offered from time to time; or
• using the website.

You also agree to be bound by these terms and conditions when you book a session, paid or free, or buy Momentum, on this website, on inneredgebreathwork.com, on momentumprofile.com or in the client portal.

These terms and conditions apply to Mike McGregor’s three websites, mikemcgregor.com.au, inneredgebreathwork.com (Inner Edge Breathwork) and momentumprofile.com (Momentum), and to the client portal at mikemcgregor.com.au/clients. In these terms and conditions, “this website” and “the website” mean any of them.

These terms and conditions must be read in conjunction with any other applicable terms and conditions governing the use of this website and any Apps, including our Privacy Policy.

These terms and conditions govern the use of all aspects of this website and all Apps so it is important that you read these terms and conditions carefully.

  1. In these terms and conditions, the expressions “I”, “me”, “we”, “us” and “our” are a reference to Mike McGregor.

    Our Apps include the client portal and Momentum.

  2. I may amend, modify or otherwise update these terms at any time and we must use our reasonable efforts to notify you of those changes. I may give such notice by posting updated terms on the website and using our reasonable efforts to draw them to your attention. Your continued use of the website and/or any App constitutes an agreement by you that you accept these terms and any subsequent modification of these terms.

  3. Your use of the website and the Apps will be subject to certain laws including, without limitation, the Australian Consumer Law. The Australian Consumer Law provides you with certain rights that cannot be excluded, including that services must be rendered with due care and skill and must be reasonably fit for the purpose contemplated. Nothing in these terms and conditions will be read or applied so as to exclude, restrict or modify or have the effect of excluding, restricting or modifying any condition, warranty, guarantee, right or remedy implied by law (including the Australian Consumer Law) which cannot by law be excluded, restricted or modified.

    1. This website may contain links to other websites (linked websites). Those links are provided for convenience only and may not remain current or be maintained.

    2. We are not responsible for the content or privacy practices associated with linked websites.

    3. Our links with linked websites should not be construed as an endorsement, approval or recommendation by us of the owners or operators of those linked websites, or of any information, graphics, materials, products or services referred to or contained on those linked websites, unless we explicitly specify otherwise.

    4. Kozen Yoga’s booking page, where the group breathwork session at Kozen Yoga is booked and paid for, is a linked website. Kozen Yoga’s own terms apply to that booking and that payment.

    1. All tools, features and information provided by us are provided in good faith. You accept that any such information provided by us is general information and is not in the nature of advice. Where applicable, we derive our information from sources which we believe to be accurate and up to date as at the date of publication. We nevertheless reserve the right to update this information at any time. In addition, we do not make any representations or warranties that the information we provide is reliable, accurate or complete or that your access to that information will be uninterrupted, timely or secure. To the extent permissible by law, we are not liable for any loss resulting from any action taken or reliance made by you on any information posted by us or the use of the tools or other features made available by us on the website.

    2. The website does not purport to provide you with financial product or investment advice of any kind. The information available on the website does not take account of your particular financial or insurance requirements or circumstances. We recommend that you seek independent advice prior to acting on any information available via the website.

    3. Momentum’s profile, playbook and results, and the tools in the client portal, are general information under clause 5.1. They are not medical, psychological or mental health advice.

    1. Subject to clauses 6.2 and 7, we do not accept responsibility for any loss or damage, however caused (including through negligence), which you may directly or indirectly suffer in connection with your use of this website, any App or any linked website, nor do we accept any responsibility for any such loss arising out of your use of or reliance on information contained on or accessed through this website or any App.

    2. To the extent permitted by law, any condition or warranty which would otherwise be implied into these terms and conditions is hereby excluded. Where legislation implies any condition or warranty, and that legislation prohibits us from excluding or modifying the application of, or our liability under, any such condition or warranty, that condition or warranty will be deemed included but our liability will be limited for a breach of that condition or warranty to one or more of the following:
      a. if the breach relates to goods:
      i. the replacement of the goods or the supply of equivalent goods;
      ii. the repair of such goods;
      iii. the payment of the cost of replacing the goods or of acquiring equivalent goods; or
      iv. the payment of the cost of having the goods repaired; and
      b. if the breach relates to services:
      i. the supplying of the services again; or
      ii. the payment of the cost of having the services supplied again.

  4. This disclaimer set out in these terms and conditions does not attempt or purport to exclude liability arising under statute if, and to the extent, such liability cannot be lawfully excluded or where it would be unreasonable for us to limit our liability in this manner.

    1. You must take your own precautions to ensure that the process which you employ for accessing this website does not expose you to the risk of viruses, malicious computer code or other forms of interference which may damage your own computer system. For the removal of doubt, we do not accept responsibility for any interference or damage to your own computer system which arises in connection with your use of this website or any linked website.

    2. We do not give you any assurances that any information contained on this website will be suitable for your purposes or that it will be error-free. You agree that you will not rely on any such information or its availability and that any reliance you make will be on your own independent assessments with the aid of qualified independent advice.

  5. Copyright in this website (including text, graphics, logos, icons, sound recordings and software) is owned or licensed by us. Information procured from a third party may be the subject of copyright owned by that third party. Other than for the purposes of, and subject to the conditions prescribed under, the Copyright Act 1968 (Cth) and similar legislation which applies in your location, and except as expressly authorised by these terms and conditions, you may not in any form or by any means:

    1. adapt, reproduce, store, distribute, print, display, perform, publish or create derivative works from any part of this website; or

    2. commercialise any information, products or services obtained from any part of this website;
      without our written permission or, in the case of third party material, from the owner of the copyright in that material.

    Clause 9 applies to our Apps, including Momentum (its questions, profile, playbook and workbooks) and the client portal, as it does to this website.

    1. Except where otherwise specified, any word or device to which is attached the TM or ® symbol is a registered trade mark.

    2. If you use any of our trade marks in reference to our activities, products or services, you must include a statement attributing that trade mark to us. You must not use any of our trade marks:
      a. in or as the whole or part of your own trade marks;
      b. in connection with activities, products or services which are not ours;
      c. in a manner which may be confusing, misleading or deceptive;
      d. in a manner that disparages us or our information, products or services (including this website).

      You must seek permission to use third party trade marks directly from the owner(s) of those trade marks.

    1. Unless we agree otherwise in writing, you are provided with access to this website and our Apps only for your bona fide personal use.

    2. You agree that you will not (either yourself or via a third party):
      a. use any data aggregation tool, spider, robot, screen scraper or other automatic device or process (Automated Device) to monitor, process or reproduce any web pages on the website or any of the information, content or data contained within or accessible through the website, without our prior written permission;
      b. use any Automated Device to combine or aggregate information, content or data contained within or accessible through the website with information, content or data accessible via or sourced from any third party;
      c. use any information on or accessed through the website for any commercial purpose (including the provision of pricing estimates or for market research) or otherwise for profit or gain (either directly or indirectly);
      d. use any device, process, software or routine to interfere or attempt to interfere with the proper working of the website or any transaction or process being conducted on or through it;
      e. take any action that imposes an unreasonably or disproportionally large load on the infrastructure of or bandwidth connecting to our website;
      f. reverse engineer, reverse assemble, decompile or otherwise attempt to discover source code or algorithm or process in respect of the software underlying the infrastructure and processes associated with the website; or
      g. copy, reproduce, alter, modify, create derivative works, communicate to the public any part of any content from the website without our prior written permission.

    3. Your client portal account, and your Momentum account, are for you alone. Keep your password to yourself, do not let anyone else use your account, and tell me straight away if you think someone else has used it.

  6. Unfortunately, no data transmission over the Internet can be guaranteed as totally secure. Whilst we strive to protect such information, we do not warrant and cannot ensure the security of any information which you transmit to us. Accordingly, any information which you transmit to us is transmitted at your own risk. Nevertheless, once we receive your transmission, we will take reasonable steps to preserve the security of such information.

    Card payments are made through Stripe. Your card details go into Stripe’s own secure payment form and are held by Stripe, not by me.

  7. You must indemnify us, our employees, agents and contractors against any claim by a third party arising out of:

    1. your breach of these terms and conditions;

    2. your use of the links to third party websites or material on those websites; or

    3. your use of the material on our website or obtained via our Apps.

  8. Access to this website or our Apps may be terminated at any time by us without notice. Those parts of these terms and conditions which by their nature continue after termination nevertheless survive any such termination.

    1. These terms and conditions are governed by the laws in force in Victoria, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of that jurisdiction.

    2. You accept that any disputes about this website or its contents are to be determined by the courts having jurisdiction in Victoria, Australia in accordance with the laws in force in Victoria, Australia (except any principle of conflict of laws inconsistent with this requirement).

    3. This website may be accessed throughout Australia and overseas. We make no representation that the content of this website complies with the laws (including intellectual property laws) of any country outside Australia. If you access this site from outside Australia, you are responsible for ensuring compliance with all laws in the place where you are located.

    1. We accept no liability for any failure to comply with these terms and conditions where such failure is due to circumstances beyond our reasonable control.

    2. If we waive any rights available to us under these terms and conditions on one occasion, this does not mean that those rights will automatically be waived on any other occasion.

    3. If any of these terms and conditions are held to be invalid, unenforceable or illegal for any reason, the remaining terms and conditions will nevertheless continue in full force.

Mike McGregor Terms and Conditions of Provision of Counselling, Coaching and Breathwork Services

Mike McGregor is the owner and operator of this website.

These terms and conditions apply to every session booked with me, paid or free, on mikemcgregor.com.au, on inneredgebreathwork.com or in the client portal, and to the coaching sessions included in Momentum With Mike.

  1. The following words have the following meanings throughout these terms and conditions:

    1. Fee: the dollar amount quoted for the product and/or service provided by Mike McGregor.

    2. Client: a client of Mike McGregor.

    3. Notice: any notice in writing, given in person, by email, facsimile or post to the parties’ last known or last notified address or contact details.

    4. Plan: any strategy or other plan we may develop for or with you.

    5. Session or Program: any scheduled appointment you attend serviced by us, including but not limited to 1-on-1 counselling, coaching, breathwork (1:1 or in a group, online or in person), the free Insight Session, group session, seminar, workshop, webinar, consultation or assessment.

    6. Privacy Policy: our Privacy Policy, as amended from time to time in our discretion.

    7. Term: the agreed upon length of an ongoing service delivered by me to the Client.

    8. Me, us, we, our: Mike McGregor.

    9. Client portal: your own private area at mikemcgregor.com.au/clients/portal, where you book, move and cancel your sessions and see your session notes, transcripts and receipts.

    10. Online session: a session held on Zoom. Every coaching session, every 1:1 breathwork session online, the online group breathwork session and the Insight Session is an online session.

    11. In person session: a 1:1 breathwork session at 32 Church St, Hawthorn VIC 3122, or the group breathwork session at Kozen Yoga at the same address.

    12. Insight Session: a free 30 minute conversation on Zoom for people new to my work.

    13. Freedom Package: a package of 3, 6 or 9 coaching sessions of 60 minutes each, paid in full when you book the first session.

    14. Session to book: a session you have paid for that is not yet booked to a time. It waits in your client portal until you book it.

    15. Momentum: my online self-awareness assessment, covered by the Momentum terms at the end of this page.

    1. Completing a booking form to become a Client and agreeing to be bound by these terms and conditions does not entitle you to become a Client. The conditions in clause 5 will apply and we will have ultimate unfettered discretion as to whether you become or remain a Client.

    2. By making a booking and agreeing to these terms and conditions, you acknowledge that payments made to us and services received from us are a sole arrangement between you and Mike McGregor.

    3. By booking a session, paid or free, you agree to these terms and conditions and to our Privacy Policy, including that online sessions may be recorded, as clause 10 sets out.

    4. The services I offer at present are 1:1 coaching on Zoom; breathwork, 1:1 in person in Hawthorn or online on Zoom, and in a group, online on Zoom or in person at Kozen Yoga in Hawthorn; and the free Insight Session. Momentum is added once it goes on sale (see the Momentum terms at the end of this page).

    5. The Insight Session is for people new to my work. One Insight Session can be booked ahead for each email address.

    1. You must pay all fees associated with services and/or goods received from us, including the Fee, when the Fee falls due throughout the entire Term.

    2. I will endeavour to contact you to inform you of any overdue payments; however, it remains your responsibility to ensure that any debits are able to be made from your nominated account or credit card.

    3. Where you pay by direct debit under a separate arrangement with me and any payment is dishonoured, a dishonour fee must be paid by you as outlined in the direct debit terms and conditions, separate to these terms and conditions. This is a fee imposed by the direct debit company, not us.

    4. If there are multiple failures to meet your payment obligations under these terms and conditions, but without prejudicing our right to recover any overdue payments, your services may be suspended or terminated by us by notice to you.

    5. Where any payment due to us is not paid in full and by the due date, we may deny you your services in our discretion.

    6. All costs and disbursements incurred by us in recovering payment or in protecting or enforcing our rights under this document, including legal costs and disbursements, are payable by you on the indemnity basis.

    7. Session fees are paid by card through Stripe when you book, in Australian dollars, at the price shown in the booking calendar. Where your device offers a digital wallet, you can pay with it instead. With Apple Pay or Google Pay, Apple or Google passes your card to Stripe for you.

    8. You pick your time first. It is held for you for 30 minutes while you pay, and it is booked only once your payment has gone through. If you leave the payment, or the 30 minutes run out, the time is let go.

    9. Your booking is confirmed by my calendar invite, sent to the email you gave.

    10. If your time cannot be booked after you have paid, for example because someone else booked it while you were paying, your payment is kept as a session to book in your client portal, and you pick another time there.

    11. A Freedom Package is paid in full, upfront, when you book its first session. Its other sessions wait in your client portal as sessions to book.

    12. The Insight Session is free. The group breathwork session at Kozen Yoga is booked in my calendar for free, then booked and paid for on Kozen Yoga’s own website (clause 4.4 of the website terms above).

    13. Your receipts are in your client portal, under Receipts, each with a link to Stripe’s own receipt.

    1. It is a condition of our work together that you will arrive on time for each scheduled session as sessions will finish within the allocated time regardless of late arrival.

    2. You are able to reschedule a session to another time, as long as at least 24 hours’ notice is given. If less than 24 hours’ notice is given to reschedule a session, it is up to our discretion if we approve the reschedule or if you will forfeit the session and any fees paid for that service.

    3. You can cancel a session in your client portal at any time before it starts. Cancelled 24 hours or more before it starts, it returns to your account as a session to book. Cancelled within 24 hours of its start, it is cancelled but not refunded, and it does not return to your account.

    4. You can move a session to another time yourself in your client portal up to 24 hours before it starts. Inside 24 hours the portal no longer lets you move it. To ask for a change then, contact me, and clause 4.2 applies.

    5. A free booking made with only your name and email can be moved up to 24 hours before it starts, and cancelled up to its start, in your client portal.

    6. Cancelling the group breathwork session at Kozen Yoga in my calendar does not cancel or refund your booking with Kozen Yoga. You change that booking on Kozen Yoga’s own website.

    7. A session you miss without telling me is treated as a session changed with less than 24 hours’ notice under clause 4.2.

    8. Group breathwork sessions run on set dates, shown in the booking calendar. Booking one books your place on that date only. Every time in the booking calendar is set in Melbourne time and shown in the time zone you choose.

    1. It is a condition of becoming a Client that you, prior to receiving services by us, may be required to complete a mental or emotional assessment to my satisfaction. The purpose of the assessment is to assist me in assessing your individual needs, assist me to identify a plan suitable to your needs, develop a Plan and to aid in achieving your goals.

    2. If you have any mental health or other concerns now or after you join as a Client, you must discuss them with your doctor or health professional before applying to become a Client or implementing any Plan.

    3. It is your responsibility not to engage in or undertake any activity which may adversely affect or exacerbate any condition of yours.

    4. You hereby warrant that, to the best of your knowledge, you do not have any mental, medical or other condition which may be adversely affected or aggravated by, or which may result in any aggravation as a result of receiving services from me or the implementation of any Plan. You must inform me if that changes during the course of your time as a Client.

    5. You acknowledge that I do not provide medical or mental health advice and if you have any concerns in relation to these at the start of your engagement with me or during your engagement that you will consult a qualified medical professional.

    6. I reserve the right to restrict, suspend or terminate our engagement if I am of the opinion that you are unfit to receive any of my services. If our engagement is restricted or suspended for this reason, our engagement will not be reinstated until you provide us with a medical certificate confirming that you are fit to work with me.

    7. Breathwork is not suitable for everyone. Please get medical clearance first if you are pregnant or have a detached retina or glaucoma, uncontrolled high blood pressure, heart disease or other cardiovascular disease, severe asthma, a history of seizures or epilepsy, severe diabetes, an acute injury or recent surgery, diagnosed psychosis or schizophrenia, or any condition that may be worsened by intense breathing or emotional release.

    8. Clause 5.7 applies to every breathwork session, 1:1 or group, online or in person. Tell me about any relevant condition before we begin, and before any later session if it changes, and do not take part until you have that clearance.

    9. In a breathwork session you can slow down or stop whenever you choose by returning to normal breathing. You must come free of alcohol and drugs.

    10. For an online breathwork session, set yourself up somewhere quiet and safe where you can lie down undisturbed. I am not in the room with you, so your space is your responsibility.

    1. You may terminate your relationship with us as a Client at any time subject to clause 6(4).

    2. I may terminate our engagement if:
      a. I have concern for your health and/or safety;
      b. you do not comply with these terms and conditions or if you fail to promptly follow any reasonable direction I may give;
      c. you fail to make any payments of your Fees or any other amount/s due;
      d. you engage in improper or harmful conduct or conduct that is or could reasonably be detrimental to other clients or myself; or
      e. we so determine in our absolute discretion.

    3. Termination shall be without prejudice to the accrued rights of each party.

    4. On termination by you, you will be required to pay to me the Fees that would otherwise have been payable by you for the duration of the Term without deduction or set-off.

    5. On termination by me, you will be required to pay to us the Fees for services up until the date of termination, without deduction or set-off.

  2. You acknowledge and agree that:

    1. Whilst you are receiving services, either in person, virtually, or any other location and whilst you are implementing any Plan, you are at risk of experiencing emotional turbulence.

    2. Any injury or death, including any that follows emotional turbulence or the physical effects of breathwork, may result from your actions, omissions or negligence and/or from the actions, omissions or negligence of others.

    3. Whilst I attempt to ensure that our sessions are scaled appropriately to your needs and situation, there are some significant and inherent risks involved.

    4. You are participating in any activities with us and in relation to any Plan voluntarily at your own risk and responsibility, thereby exposing yourself to certain risks.

    5. You must act reasonably and take all steps reasonably available to you to protect your own interests, including communicating with me about your experience, your challenges, any concerns you have or any difficulties you encounter.

    6. In breathwork you may feel tingling in your hands or face, lightheadedness, and emotion rising or releasing. Tingling and lightheadedness pass when you return to normal breathing.

    7. A group breathwork session carries the same risks as a 1:1 session. The coaching before and after the breath happens only in a 1:1 session, which is why I suggest starting with a 1:1, even if you have done breathwork before.

    1. I do not provide any warranties in relation to any of our services or the results or outcome of utilising my services, attending a retreat or implementing any Plan. The results or outcome are almost entirely in your hands as to the amount of discipline and dedication you put into your own health, your maintaining a healthy lifestyle and knowledge of your own emotional strengths and weaknesses.

    1. Any advice, recommendation, information, assistance or service given by us (including any Plan) is given in good faith and is believed to be accurate, appropriate and reliable at the time it is given, but is provided without any warranty as to accuracy, appropriateness or reliability and we do not accept any liability or responsibility for any loss, cost, damage, liability or expense suffered (whether directly or indirectly) from reliance on such advice, recommendation, information, assistance or service. You agree to rely on your own judgement in making decisions concerning your health and wellbeing and the appropriateness of any Plan we may develop for or with you.

    2. You have no right or cause of action against us or our officers, employees, contractors and agents and you release and indemnify us and our officers, employees, contractors and agents from any loss, cost, damage, liability or expense, including indirect, consequential and special losses (including but not limited to loss of use, enjoyment, reputation, income or profit), and against all actions, suits, claims and demands against us in relation to the services we provide, any injury or death related to or resulting from your engagement with sessions and the implementation of any Plan.

    1. Online sessions may be recorded in Zoom’s cloud and transcribed, and Zoom’s AI Companion may make a summary of the meeting. In person sessions are not recorded.

    2. The online group breathwork session is not recorded at all: no audio, no transcript and no AI summary of it is made or kept.

    3. By booking an online session you agree that it may be recorded, transcribed and summarised as this clause describes.

    4. Of a recorded session, only the audio, the transcript and Zoom’s AI summary are kept, and never the video. Once the transcript is kept and the summary is in, or a day after the session if either does not come, the video is deleted from Zoom for good.

    5. If a session is recorded and transcribed, the transcript is kept for you in your client portal, under that session. If your booking is not yet linked to a portal account, the transcript is held on the server, where no client can read it, until it is linked.

    6. Zoom’s AI summary is only a draft of my notes for you. I check and edit it, and you see my notes only after I approve them.

    7. Zoom’s list of who joined each session is kept as my record of attendance. Only I can see it.

    8. You must not record a session yourself, or pass on another person’s words from a group session, without their consent.

    9. Zoom’s own terms and privacy policy also apply to your use of Zoom.

    1. When you first pay for a session, a client portal account is made for you with the email and name you gave with your payment, and my welcome email is sent to that email with a button that signs you in. You then set your own password in the portal. If you already have an account, your payment is added to it.

    2. A free booking (an Insight Session, or a Sunday at Kozen Yoga) made with your name and email makes a portal account the same way, and my welcome email is sent once. If you already have an account, the booking is added to it.

    3. In the portal you can book, move and cancel your sessions (within the rules in clause 4), see your sessions to book, write your own notes before and after each session, read your transcripts and my notes, open the breathwork playlists, use the tools there, see your receipts and set or change your password.

    4. Clause 11.3 of the website terms above (your account is for you alone) applies to your portal account.

    5. What the portal holds, and how it is kept, is covered by our Privacy Policy.

    6. I may suspend or close your portal account under clause 6 above or clause 14 of the website terms above.

  3. By booking a session you agree to the conditions laid out in our Privacy Policy.

    That includes how online sessions may be recorded and transcribed (clause 10) and what the client portal holds (clause 11).

  4. You must immediately notify us of any change in your name, address or other contact details. In the absence of such notification, the last address and any contact information we hold in our records is deemed to be your relevant address or way to contact or send notices to you for all purposes including but not limited to service in legal proceedings.

  5. If a provision in this document is void, illegal or unenforceable, it must be varied to give effect to the intention of these terms and conditions or severed without affecting the enforceability of the other provisions.

Mike McGregor Terms and Conditions for Momentum

  1. Momentum is a digital product: an online self-awareness assessment of 120 questions, taking about 20 minutes, which gives you your profile and a playbook for setting experiments. A retake at six months is included.

  2. Momentum comes two ways. On Your Own is the assessment, your profile and the playbook. With Mike adds three 1:1 coaching sessions with me, which are Sessions under the coaching and breathwork terms above.

  3. Momentum is not on sale yet. Until it is, you can join its early bird list, and nothing is charged. These Momentum terms apply from the day it goes on sale.

  4. When it is on sale, Momentum is paid for by card through Stripe, in Australian dollars, at the price shown when you buy. Buying Momentum does not open a client portal account. Momentum has its own sign in page, but today’s assessment uses the same accounts as the client portal (our Privacy Policy explains how they are kept).

  5. Momentum is one of our Apps, for your own personal use (clause 11 of the website terms above).

  6. Momentum is a self-awareness tool. It is not a diagnosis, and it is not medical, psychological or mental health advice. Its results are general information under clause 5 of the website terms above.

  7. Your answers and your profile are yours, not your employer’s. I keep your answers and your profile private and never pass them on without your consent. Our Privacy Policy explains how they are kept. To write the insights in your profile, today’s assessment is built to send what is needed from your answers and results to Anthropic, whose AI, Claude, writes them. Your answers and your profile are kept with no set end date, and deleted whenever you ask.
